01 Agreement to these Terms
These Terms of Service govern your access to and use of Cesteral Intelligence, provided by Cesteral AB, including our website, platform, APIs, workflows, integrations, and related services.
By accessing or using the service, you agree to these Terms. If you use the service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity. If you do not agree to these Terms, do not use the service.
02 Eligibility and accounts
You must be at least 18 years old and able to enter into a binding agreement to use the service.
You are responsible for:
- providing accurate account information;
- keeping login credentials secure;
- all activity that occurs under your account or workspace, except to the extent caused by our breach of these Terms; and
- ensuring that people you invite or authorize comply with these Terms.
If you join or create an organization workspace, the workspace owner or admins may control membership, permissions, billing, data settings, and access to workspace data.
03 The service
Cesteral provides software for governed AI-assisted operations, workflows, approvals, integrations, experimentation, execution tracking, and related automation. Some features may be available only on certain plans, by separate agreement, or in beta, preview, or early-access form.
We may modify, improve, suspend, or discontinue parts of the service from time to time. We will use reasonable efforts to avoid materially disruptive changes without notice when practicable.
04 Acceptable use
You may use the service only in compliance with applicable law and these Terms. You must not:
- use the service for unlawful, deceptive, abusive, or fraudulent activity;
- infringe or misappropriate the rights of others;
- upload or transmit malware or attempt to interfere with the security, integrity, or availability of the service;
- access the service through unauthorized scraping, credential sharing, rate-limit evasion, or similar means;
- attempt to reverse engineer or bypass technical restrictions except to the extent such restriction is prohibited by law; or
- use the service to process or transmit data where you lack the rights, notices, or lawful basis needed to do so.
You remain responsible for the lawfulness, quality, and accuracy of the content, prompts, files, instructions, and third-party data you submit to the service.
05 Subscriptions, fees, and trials
Some parts of the service may require a paid subscription, an order form, or a separate commercial agreement.
If you purchase a paid plan:
- fees are due as stated at checkout, on the pricing page, or in the applicable order form;
- subscriptions renew automatically unless cancelled before renewal, unless your order form says otherwise;
- you authorize us and our payment processor to charge the payment method you provide;
- taxes, duties, and similar governmental charges are your responsibility unless stated otherwise; and
- except where required by law or expressly agreed, fees are non-refundable.
We may change pricing or packaging in the future. Changes will apply prospectively and not retroactively to amounts already paid.
06 Third-party services and integrations
The service may interoperate with third-party products, APIs, models, and data sources, including AI providers, ad platforms, cloud storage, CRMs, spreadsheets, collaboration tools, and messaging systems.
If you enable or use a third-party service through Cesteral:
- you authorize us to exchange the data and instructions needed to provide that integration;
- your use of the third-party service may also be governed by that provider's own terms and privacy practices; and
- we are not responsible for third-party services themselves, including outages, policy changes, output quality, or loss caused by those providers.
07 Customer Data
As between you and Cesteral, you retain your rights in the data, content, files, prompts, configurations, and other materials you submit to the service ("Customer Data").
You grant Cesteral a limited, non-exclusive right to host, copy, process, transmit, display, and otherwise use Customer Data only as necessary to provide, secure, support, and improve the service in accordance with these Terms, our Privacy Policy, and any applicable DPA.
You represent that you have all rights, permissions, and lawful bases needed for Customer Data and for any actions you ask the service to perform.
08 Our intellectual property
We own the service, including its software, design, documentation, trademarks, and related intellectual property, excluding Customer Data and third-party materials.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service during the applicable subscription term or permitted access period.
If you provide feedback or suggestions, we may use them without restriction or obligation.
09 Privacy and data processing
Our Privacy Policy explains how we process personal data when we act as controller.
If we process personal data on your behalf in connection with your use of the service, our Data Processing Agreement applies when accepted in-product or incorporated by reference into your commercial agreement.
10 Availability, support, and beta features
We aim to provide a reliable service, but we do not promise uninterrupted or error-free operation.
Support levels, response expectations, and any service commitments may depend on your plan or separate agreement.
Features labeled beta, preview, early access, experimental, or similar are provided on an as-available basis and may be changed or withdrawn at any time.
11 Suspension and termination
You may stop using the service at any time. If self-service cancellation is available, you may use it; otherwise contact contact@cesteral.com.
We may suspend or terminate access immediately if:
- you materially breach these Terms;
- we reasonably believe your use creates legal, security, or operational risk;
- payment is overdue after notice and an opportunity to cure, where applicable; or
- we are required to do so by law or a third-party provider.
Upon termination:
- your right to use the service ends;
- we may delete or restrict access to data in accordance with our retention practices and agreements; and
- provisions that by their nature should survive termination will remain in effect.
12 Disclaimers
To the maximum extent permitted by law, the service is provided "as is" and "as available." We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that outputs, recommendations, or automated actions will be accurate, complete, or suitable for your use case.
You are responsible for reviewing outputs and decisions before relying on them in production, especially where legal, financial, operational, or regulatory consequences may follow.
13 Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, or data arising from or related to the service or these Terms.
To the maximum extent permitted by law, Cesteral's aggregate liability arising out of or relating to the service or these Terms will not exceed the greater of:
- the amounts you paid to Cesteral for the service during the 12 months before the event giving rise to the claim; or
- EUR 100 if you have not paid for the service.
Nothing in these Terms limits liability that cannot lawfully be limited.
14 Indemnity
You will indemnify and hold Cesteral harmless from third-party claims, losses, damages, and expenses arising out of or related to:
- your Customer Data;
- your misuse of the service;
- your violation of these Terms; or
- your violation of applicable law or third-party rights.
15 Governing law and disputes
These Terms are governed by the laws of Sweden, excluding conflict of laws rules.
Before starting formal proceedings, each party agrees to try to resolve the dispute informally by contacting the other party and allowing at least 30 days for discussion.
Unless applicable law requires otherwise, disputes arising out of or in connection with these Terms will be brought in the courts of Stockholm, Sweden.
16 General
These Terms, together with any order form, DPA, and other documents expressly incorporated by reference, form the entire agreement between you and us regarding the service.
If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign these Terms without our prior written consent.
